Terms of Service

1. Acceptance of Terms
By accessing or using the websites, mobile applications, and services provided by Athlesis (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Who We Are and Scope
Athlesis provides software for fitness studios, sports academies, and coaching teams to manage their business and for members to engage with those organizations via mobile apps. The Service includes:
- Class scheduling, booking, and attendance management
- Payments, invoicing, subscriptions, and billing tools
- Member profiles, studio rosters, and role-based access
- Notifications and communications
- Analytics and reporting
- iOS and Android mobile applications for staff and members
Athlesis is not a fitness studio, gym, or trainer. We provide a technology platform that enables studios and members to interact. Agreements for classes, memberships, or services are between studios and their members.
3. Eligibility and Accounts
You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. To access certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your login credentials
- Accept responsibility for all activities under your account
- Promptly notify us of any unauthorized access or use
Studios may designate roles (e.g., owner, manager, coach, member) to manage access. You are responsible for actions taken using your role. If you are a studio owner or manager, you are responsible for your studio’s compliance with these Terms by your staff.
4. Mobile App License
Subject to these Terms, Athlesis grants you a limited, non-exclusive, non-transferable, revocable license to install and use the mobile apps on a device you own or control solely for your personal or internal business use.
App Store and Google Play terms apply to your download and use of the apps. Athlesis, not Apple or Google, is responsible for the Service and content.
5. Subscriptions, Billing, and Payments
Studios: Paid plans are billed in advance on a monthly or annual basis and renew automatically until cancelled. You authorize Athlesis and our payment processors (e.g., Stripe) to charge your payment method for subscription fees, add-ons, taxes, and any applicable late fees.
- Provide and maintain accurate billing information
- Manage cancellations in your account settings
- Understand that fees are generally non-refundable
- Accept responsibility for chargebacks and related fees
Members: Purchases of memberships, passes, and classes are transactions with the studio, not Athlesis, unless clearly stated otherwise. Studios set their own pricing, policies, cancellations, and refunds.
6. Studio Policies: Bookings, Cancellations, No‑Shows
Studios control class schedules, attendance limits, waitlists, booking windows, cancellation deadlines, and no‑show fees. Please review your studio’s policies before booking. Disputes related to bookings or attendance are between you and the studio.
7. Acceptable Use
When using the Service, you agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes
- Interfere with or disrupt the Service or networks
- Attempt to gain unauthorized access to any systems
- Upload or transmit malware or harmful code
- Infringe others’ intellectual property or privacy rights
- Harass, abuse, or harm other users or staff
- Create or operate a studio that misrepresents or impersonates another business. Athlesis reserves the right to suspend accounts and report fraudulent activity to relevant authorities.
8. User Content and Feedback
You retain ownership of content you submit to the Service. You grant Athlesis a worldwide, non‑exclusive, royalty‑free license to use, reproduce, and display such content solely to operate and improve the Service. Do not submit content you do not have rights to share.
If you send ideas or feedback, you grant Athlesis the right to use them without restriction or compensation.
9. Health, Safety, and No Medical Advice
Physical activity involves risks. Athlesis does not provide medical advice. Consult a physician before beginning any new fitness program. You voluntarily assume all risks associated with participation in activities arranged by studios.
10. Third‑Party Services
The Service may integrate third‑party services such as payment processors (e.g., Stripe), authentication, analytics, and app stores. Your use of those services may be subject to their terms and privacy policies. Athlesis is not responsible for third‑party services.
11. Privacy
Please review our Privacy Policy to understand how we collect, use, and share information about you.
12. Service Changes and Availability
We may modify, suspend, or discontinue features of the Service at any time, with or without notice. We will strive to provide reasonable notice of material changes when practicable.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or create risks for the Service or other users. Upon termination, your right to use the Service ceases immediately.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHLESIS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
16. Indemnification
You agree to defend, indemnify, and hold harmless Athlesis and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Service, your content, or your violation of these Terms or applicable laws.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California, for disputes that are not subject to arbitration or cannot be resolved informally.
18. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., by posting on our website or in‑app). Continued use after the effective date constitutes acceptance of the updated Terms.
